1. Definitions
“Goods” means any thermal transfer ribbons, labels, printers, spares, or other physical products supplied by Computade. “Services” means labelling software licensing, printer repair, installation, training, or support services supplied by Computade. “Order” means any order for Goods or Services placed by you and accepted by us.
2. Orders and Acceptance
All orders are subject to acceptance by Computade. A quotation does not constitute an offer capable of acceptance by you; it is an invitation for you to place an order. No order shall be binding on Computade until confirmed in writing (including by email). We reserve the right to decline any order at our discretion.
3. Prices and Payment
Prices are as quoted at the time of order and are exclusive of VAT unless stated otherwise. Unless otherwise agreed in writing, payment terms are 30 days net from the date of invoice. We reserve the right to charge interest on overdue accounts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. If payment is not received in accordance with these terms, we reserve the right to suspend further deliveries or services until payment is received in full.
4. Retention of Title
Ownership of Goods shall not pass to you until Computade has received payment in full (in cash or cleared funds) for those Goods and any other goods or services supplied to you, whatever the terms of payment. Until ownership has passed to you, you shall hold the Goods on a fiduciary basis as Computade’s bailee, and shall store them separately from other goods so that they remain readily identifiable as Computade’s property. Until ownership has passed to you, you shall not destroy, deface, or obscure any identifying mark or packaging on the Goods, and shall keep the Goods insured against all risks for their full price from the date of delivery. Your right to possession of the Goods shall terminate immediately if you become subject to any form of insolvency proceedings, or fail to pay any sum due to Computade by its due date. At any time before ownership passes, Computade shall be entitled to require you to deliver up the Goods and, if you fail to do so promptly, to enter any premises where the Goods are stored to recover them.
5. Delivery
Delivery dates are estimates only and not guaranteed. Computade shall not be liable for any delay in delivery caused by circumstances beyond its reasonable control. Risk in the Goods passes to you on delivery, notwithstanding that ownership has not yet passed under clause 4. If you fail to accept delivery at the agreed time, Computade may store the Goods and charge you for reasonable storage costs.
6. Warranties and Liability
Computade warrants that Goods will be free from material defects at the time of delivery. Any defect must be reported within a reasonable time, and in any event within 30 days of delivery. Nothing in these terms shall exclude or limit our liability for death or personal injury caused by our negligence, fraud, or any other liability which cannot be excluded or limited by law. Subject to the above, Computade’s total liability arising out of or in connection with any order shall not exceed the total price paid for the Goods or Services giving rise to the claim. Computade shall not be liable for any indirect or consequential loss, including loss of profit, loss of business, or loss of goodwill.
7. Returns and Cancellation
Goods made to your specification (including custom pre-printed labels) are non-returnable and non-refundable, except where faulty. Standard stock items may be returned within 14 days of delivery, at your cost, provided they are unused and in original packaging. A restocking charge may apply. This clause does not affect your statutory rights.
8. Software Licensing
White Label Software is licensed, not sold. Your right to use the software is governed by the applicable licence terms provided at the time of purchase, and remains the intellectual property of its licensor at all times. Support and telephone assistance is provided in accordance with the terms of your specific software package.
9. Service and Repair Work
Estimates for repair work are approximate. We will seek your authorisation before carrying out work materially exceeding the original estimate. Loan printers, where provided, remain the property of Computade at all times and must be returned in the condition provided, fair wear and tear excepted.
10. Force Majeure
Computade shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, war, strikes, supplier failures, or shortages of materials.
11. General
These terms constitute the entire agreement between the parties in relation to their subject matter. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force. These terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
